İmza sirküleri — meaning and English translation
An imza sirküleri is a notarised signature circular: the document showing which officers of a Turkish company may sign on its behalf, with their specimen signatures.
Turkish companies prove signing authority with a notarised document rather than a board minute alone. After the authorised signatories are registered in the trade registry, they sign before a notary, who prepares the imza sirküleri: it names the company, cites the registry entry and the gazette in which the appointment was published, sets out the scope of each person's authority (sole or joint, any monetary limits) and reproduces the specimen signatures. Banks, the tax office, customs and counterparties keep a copy on file.
We render it as “signature circular”, with the Turkish term in brackets, because that is the phrase Turkish lawyers themselves use in English and it is now familiar to UK compliance teams. Each specimen signature is marked as such rather than transcribed.
