Filings Turkish bodies ask to see

Everything a UK company files is public on the Companies House register, and Turkish bodies pick out a handful of filings when a UK company appears in a Turkish transaction. The confirmation statement (CS01, yıllık teyit beyanı) lists the shareholders, the share capital, the SIC codes and the persons with significant control. The annual accounts (yıllık hesaplar, mali tablolar) show the balance sheet and, for larger companies, the profit and loss account and the directors' and auditor's reports. The current appointments report (yetkili listesi) lists directors and secretary with their dates of appointment. Appointment and termination forms (AP01, TM01) prove a change of director, and the register of members or PSC register identifies owners.

Free downloads from the register are fine for reading, but for legalisation you need Companies House certified copies, which its guidance prices at £22 for the standard service and £65 same-day, with incorporation documents at £44 and £130.

Who wants them in Türkiye

  • Trade registry. Proof of the UK shareholder's ownership and directors when founding or changing a Turkish company; the confirmation statement and appointments report answer the officer's who-owns-and-who-signs questions. See setting up a company in Türkiye with UK documents.
  • Banks. Corporate account opening and credit decisions rely on the last filed accounts; Turkish banks want them in Turkish.
  • Vergi dairesi. Transfer pricing reviews, permanent establishment questions and dividend withholding under the UK–Türkiye double taxation agreement, all of which involve the UK company's accounts.
  • Courts and icra offices. Commercial disputes and enforcement against a UK company's Turkish assets; the accounts and appointments show who may represent the company.
  • Work permit and tender files, where the foreign parent's financial standing is assessed.

Route to a document a registry will file

  1. Order a certified copy of each filing from Companies House.
  2. Have the FCDO apostille it; no solicitor is needed for a registrar-certified copy, and the e-Apostille at £35 is available for the PDF certified copy. Our UK partner can handle this for the FCDO fee plus £20.
  3. We translate the filing, the certification and the apostille into Turkish; the translator sworn before an Ankara notary signs, and the notary attaches the translation to a copy of the apostilled document.
  4. If the registry or court asks, the notarised translation is apostilled at the kaymakamlık for £15.

Accounts for information only, for example for a bank's credit file, are often accepted as a notarised translation without apostille. Ask before legalising a 40-page set of accounts. Our page on financial translation explains how we handle statutory accounts.

Terminology

UK accounts follow FRS 102 or FRS 105 formats and use headings a Turkish accountant will recognise once they are mapped: called-up share capital, creditors falling due within one year, profit and loss reserve. We translate to the terms used in the Turkish uniform chart of accounts (Tek Düzen Hesap Planı) with the English kept in brackets on first use, and we leave figures in pounds. A confirmation statement's SIC codes are translated with their descriptions and the NACE equivalent noted, since Turkish registries classify activities the same way.

Price

A confirmation statement or appointments report is 2 to 4 pages of 1,000 characters, £13.00 to £26.00; micro-entity accounts 4 to 8 pages; full accounts with reports 20 to 40 pages, £130 to £260 at the standard rate or 20 per cent less on the economy tier with double the turnaround. The Ankara notary tariff of about £13.50 per page plus £5 per document is added for notarised versions, and £15 for an apostille of the translation. No UK VAT is charged. Short filings take 1 to 2 working days, full accounts 4 to 6; the notary adds a day. The PDF is e-mailed and the wet-sealed originals go by courier for £30 to the UK or to your adviser in Türkiye. No collection.

Frequently asked questions

Can you translate the free PDF from the Companies House website?

Yes, and for a bank's information file that is often enough. For a trade registry or court the document must carry an apostille, and the FCDO legalises the Companies House certified copy, so order that version if legalisation is likely.

Do the full accounts really need translating for a company formation?

Usually not. Registries want the confirmation statement, appointments and good standing certificate; accounts come into play for banks and tax offices. Ask your Turkish accountant which filings the directorate lists before ordering.

Our accounts are 60 pages. Is there a cheaper way?

The economy tier at 20 per cent less with double the turnaround, and an extract translation if the receiving body accepts one, for example the balance sheet and notes only. Notary fees apply per page, so an extract saves twice.

How do you translate persons with significant control?

As gerçek faydalanıcı, the term Turkish law uses for beneficial owner, with the English in brackets and a note on the 25 per cent thresholds, since the Turkish registry asks the same question.

Can the registry check the documents online instead?

Turkish officers do not verify foreign registers; they rely on the apostilled, translated paper. The Companies House URL can be quoted in the translation so that a curious officer can look.
